01 Acceptance of these Terms
By accessing or using Agents you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization. If you do not agree, do not use the platform.
02 Eligibility & accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use Agents. Access may be invite-based, and we may enable, disable, or limit registrations at any time.
You are responsible for keeping your credentials confidential and for all activity under your account. Provide accurate information, keep it current, and notify us promptly at hello@essarion.com if you suspect unauthorized use. We store passwords only as salted bcrypt hashes.
03 What the platform does
Agents runs autonomous AI agents that can read files you upload, browse the web, run code, generate and edit documents and artifacts, and act through third-party accounts you connect — streaming each run to the interface and saving it to your project. We may add, change, or remove agents, models, and features over time, and some capabilities are experimental and may change or be withdrawn without notice.
04 Autonomous actions & your authorization
Agents can take real actions on your behalf — executing code and shell commands, creating, modifying, and deleting files, operating a web browser (including signing in to and acting on third-party websites), and reading or sending data through accounts you connect, such as sending email.
You direct and authorize these actions through the instructions you give and the integrations and permissions you grant. You are solely responsible for the tasks you ask an agent to perform and for their consequences, including any data changed, messages sent, funds moved, code executed or deployed, or obligations incurred. Automated actions can be irreversible.
Review agent plans and outputs before relying on them, grant only the access an agent genuinely needs, and do not use the platform to take actions you are not authorized to take. We are not responsible for actions an agent takes within the scope you authorized.
05 AI-generated content — accuracy disclaimer
Agents relies on artificial intelligence, including large language models. AI systems can and do produce output that is inaccurate, incomplete, outdated, biased, or entirely fabricated (“hallucinated”) — including invented facts, wrong citations, and code that is insecure, incorrect, or destructive.
Outputs, code, summaries, and agent actions are generated or assisted by AI and are provided for informational purposes only. They are not professional advice of any kind — legal, medical, financial, tax, safety, or otherwise — and must not be relied on as the sole basis for any decision. You are responsible for independently reviewing, testing, and verifying anything important before you rely on it, execute it, send it, or deploy it.
06 Connected accounts & integrations
When you connect a third-party account (such as Google or Notion) or provide credentials for the agent's browser, you authorize us to store the relevant tokens or session state (encrypted) and to access that account to perform the tasks you request. You represent that you have the right to grant this access, and your use of each connected service remains subject to that service's own terms. You may disconnect an integration at any time; see the Privacy Policy for how this data is handled.
07 Acceptable use
You agree not to use Agents to:
- break any law or regulation, or infringe anyone's rights, including intellectual-property, privacy, or publicity rights;
- access systems, accounts, or data you are not authorized to access, or take actions you are not authorized to take;
- generate or distribute content that is unlawful, defamatory, harassing, hateful, or that facilitates harm;
- develop or deploy malware, spam, credential-harvesting, or other abusive automation;
- reverse-engineer, scrape, overload, disrupt, or bypass rate limits, access controls, or security of the platform;
- use automated means to access the platform outside the interfaces we provide, or resell or redistribute it without our written permission; or
- violate the terms, robots directives, or rate limits of any third-party site, service, or connected account the agent accesses on your behalf.
We may investigate suspected violations and suspend or terminate access for conduct we reasonably believe breaks these Terms or harms the platform, other users, or third parties.
08 Your content & outputs
“Your Content” means the prompts, files, documents, and other material you submit. You retain ownership of Your Content. You grant us a non-exclusive, worldwide license to host, process, transmit, and display Your Content solely to operate, secure, and improve the platform and to provide it back to you — for example, sending it to AI models and providers and storing your files, runs, and memory.
Subject to these Terms and the rights of third parties in any referenced material, the outputs generated for you (“Outputs”) are yours to use. Because AI can produce similar results for different users, Outputs may not be unique, and we make no representation that Outputs are original or non-infringing. You are responsible for how you use Outputs and any code you run or ship.
09 Plans, credits & billing
Agents offers free and paid plans that differ in features, storage, and included AI usage. Usage is metered in credits and tokens, and counters reset on their stated cadence. Prices and limits may change; we will make reasonable efforts to communicate material changes. Where paid subscriptions are offered, fees are billed in advance and, except where required by law, are non-refundable. You are responsible for any taxes. If a payment fails or a subscription lapses, we may suspend paid features or downgrade your account.
10 Third-party services & sources
The platform depends on third parties, including AI model providers, web-search and browser-automation providers, identity and integration providers, and cloud hosting and storage. Your use of the platform and the content it accesses is also subject to those third parties' terms. We are not responsible for third-party services or for the content, accuracy, or availability of external sites, and links or citations are not endorsements. See the Privacy Policy for how data is shared.
11 Intellectual property
The platform itself — including its software, design, branding, and the “Agents” and “Essarion” names and logos — is owned by us or our licensors and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the platform for its intended purpose. No rights are granted except as expressly stated here.
12 Suspension & termination
You may stop using the platform and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if necessary to protect the platform or others. On termination, your right to use the platform ends; sections that by their nature should survive (including disclaimers, limitations of liability, and indemnification) will survive. We handle data after account closure as described in the Privacy Policy.
13 Disclaimer of warranties
To the fullest extent permitted by law, the platform and all Outputs and agent actions are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, completeness, or availability. We do not warrant that the platform will be uninterrupted or error-free, that defects will be corrected, or that any Output or automated action is accurate, safe, or fit for your purpose.
14 Limitation of liability
To the fullest extent permitted by law, we and our affiliates and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the platform, any reliance on Outputs, or any action an agent takes on your behalf, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the platform or these Terms will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
15 Indemnification
You agree to indemnify and hold harmless Agents, Essarion, and our officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the platform, Your Content, your Outputs, the actions you authorize agents to take, or your breach of these Terms or of any law or third-party right.
16 Governing law & general terms
These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where mandatory local law provides otherwise. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the platform. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
